1. About These Terms

These Terms of Service ("Terms") govern your use of the website edac.asia and the products and services provided by Eagle Design & Consultancy Co., Ltd. ("EDAC", "we", "us", or "our"), a company registered in Thailand (Registration No. 0205568058740). EDAC is the legal entity operating NewsletterMe (newsletterme.com), Costable (costable.ai), GloveHub (glovehub.shop), and Agent Directory Exchange (agentdirectory.exchange).

By accessing our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.

2. Our Services

EDAC provides professional design, engineering, and consultancy services including but not limited to:

• Design consultancy (architectural, interior, spatial)
• Project management and coordination
• Engineering advisory and technical review
• Business and strategic consultancy
• Digital services and technology advisory
• Procurement and sourcing support

Specific services, deliverables, timelines, and fees are agreed in writing (via proposal, contract, or invoice) prior to commencement of any engagement.

3. Engagement & Agreements

All service engagements require a written agreement or accepted proposal. Work commences only upon receipt of a signed agreement or confirmed purchase order. EDAC reserves the right to decline any engagement at its discretion.

4. Fees & Payment

Fees for services are as stated in the relevant proposal or invoice. Unless otherwise agreed in writing:

• Invoices are due within 14 days of issue
• Payments may be made via bank transfer or online payment (processed by Stripe)
• Late payments may incur interest at 1.5% per month on the outstanding balance
• All fees are quoted exclusive of applicable VAT or taxes unless stated otherwise

5. Payment Processing

Online payments are processed by Stripe, Inc. By making a payment through our site, you agree to Stripe's Terms of Service. EDAC does not store card details. All card transactions are encrypted and handled by Stripe's secure infrastructure.

6. Refunds & Cancellations

Cancellation terms are specified in individual service agreements. Generally:

• Work completed and delivered is non-refundable
• Prepaid retainers may be refunded pro-rata for unused portions, at EDAC's discretion
• Cancellation with less than 5 business days notice may forfeit any deposit paid

Disputes regarding invoices must be raised in writing within 7 days of receipt. After this period, invoices are deemed accepted.

7. Intellectual Property

All deliverables, designs, reports, and materials produced by EDAC remain the intellectual property of EDAC until full payment is received, at which point ownership transfers to the client as agreed in the service contract. EDAC retains the right to use completed work in its portfolio unless otherwise agreed in writing.

8. Confidentiality

EDAC treats all client information as confidential and will not disclose it to third parties without your consent, except where required by law or regulation. We expect the same in return for any proprietary EDAC materials shared with clients.

9. Limitation of Liability

To the maximum extent permitted by law, EDAC's total liability for any claim arising from our services shall not exceed the fees paid by the client for the specific service giving rise to the claim. EDAC is not liable for indirect, consequential, or incidental losses.

10. Governing Law

These Terms are governed by the laws of the Kingdom of Thailand. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Thailand.

11. Changes to These Terms

We may update these Terms from time to time. The current version will always be available at edac.asia/terms.html. Continued use of our services after any update constitutes acceptance of the revised Terms.
